Bylaws for Maine Poetry Central

 

Maine Poetry Central—Revised Bylaws

Approved February 1, 2015

 

STRUCTURE AND MISSION OF THE ORGANIZATION

Article 1: Maine Poetry Central will be run by an Executive Director and by a Board of Directors.

Article 2: The Board of Directors will be composed of minimum of four and of a maximum of six Board Members.

Article 3: The Executive Director is considered to be a member of the Board of Directors.

Article 4: Each year the Board of Directors will review the “mission statement” of Maine Poetry Central and revise it accordingly.

 

APPOINTMENT OF OFFICERS

Article 5: Members of the Board of Directors are appointed to two-year terms.

Article 6: The Executive Director is appointed for a three-year term.

Article 7: The Board of Directors will designate one of its members as Treasurer for a two-year term.

Article 8: The Board of Directors will designate one of its members as Scribe for a two-year term.

Article 9: The term of the Executive Director and the terms of the Board Members are renewable.

Article 10: The Board of Directors, upon the initiative of the Executive Director or Board Members, may designate additional officers (for example, webmaster) or program leaders.

 

OPERATION OF THE ORGANIZATION

Article 11: A full Board of Directors Meeting will be held at least once a year, with minutes kept and available subsequently to Board Members.

Article 12: The Executive Director and the Board Members will hold ad hoc meetings outside of the full Board Meetings.

Article 13: As Maine Poetry Central aims for a spirit of cooperation and collaboration, the Board of Directors will operate on a consensus basis. As needed, the Board Members may vote by simple majority on motions proposed by the Executive Director or the Board Members.

Article 14: In carrying out programmatic activities, the Executive Director will seek the advice and guidance of the Board of Directors.

Article 15: The Executive Director is responsible for documenting all incoming funds and all outgoing funds/expenses.

Article 16: As Maine Poetry Central aims to have an activist Board of Directors, each Board Member will be encouraged to lead one of Maine Poetry Central’s programmatic areas, reporting regularly to the Executive Director and other Board Members.

Article 17: Each year the Executive Director and Board Members will organize fund drives to support the organization’s work.

 

ANNUAL REPORTING ON FINANCIAL AND PROGRAMMATIC ASPECTS

Article 18: Following consultation with the Treasurer, the Executive Director will report on the organization’s finances to the Board of Directors once a year.

Article 19: At the annual Board of Directors meeting, the Executive Director and the program leaders will report on Maine Poetry Central’s programmatic activities.
